END USER LICENSE AGREEMENT (EULA)

CASA POS (CASA Point of Sale) CASA TECHNOLOGIES LLC

This End User License Agreement ("Agreement") is a legal contract between you ("Licensee," "User," or "You") and CASA TECHNOLOGIES LLC ("Company," "We," or "Us") governing your use of the CASA POS (CASA Point of Sale) software, including all related applications, services, updates, documentation, and components (collectively, the "Software").

By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. LICENSE GRANT

Subject to your compliance with this Agreement and payment of all applicable fees, CASA TECHNOLOGIES LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business operations. This license does not constitute a sale of the Software or any intellectual property rights.

2. CLOUD LICENSE VALIDATION

The Software requires an active license issued by CASA TECHNOLOGIES LLC.

2.1 Automatic Validation

The Software automatically validates your license:

  • Upon application startup
  • At regular intervals (approximately every 12 hours)

2.2 License Expiration or Violation

The Software will not operate if:

  • Your subscription or license expires
  • Payment fails or is not received
  • You exceed the permitted number of devices
  • Your license is revoked for breach of this Agreement

You acknowledge and agree that the Software may automatically disable access under these conditions.

3. RESTRICTIONS

You may not, under any circumstances:

  • Copy, distribute, or reproduce the Software
  • Sell, rent, lease, sublicense, or transfer the Software
  • Modify, alter, translate, or create derivative works
  • Reverse engineer, decompile, or attempt to extract source code
  • Bypass, disable, or tamper with license validation or security mechanisms
  • Use the Software in violation of any applicable laws or regulations
  • Share license keys, credentials, or activation information with third parties

Any unauthorized use immediately terminates your license.

4. DEVICE LIMITATIONS

Your license may restrict the number of devices on which the Software can be installed or used. Exceeding this limit is a violation of this Agreement and will result in automatic deactivation.

5. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software is owned and copyrighted by CASA TECHNOLOGIES LLC. All rights not expressly granted to you are reserved. This Agreement does not grant you any ownership interest in the Software, trademarks, or related intellectual property.

6. UPDATES AND MODIFICATIONS

CASA TECHNOLOGIES LLC may provide updates, patches, or enhancements. These are governed by this Agreement unless accompanied by a separate license. We may modify or discontinue features at any time.

7. DATA COLLECTION & CONNECTIVITY

The Software may transmit:

  • License validation data
  • Device identifiers
  • Usage information necessary for security, compliance, and functionality

You consent to this communication as a condition of using the Software.

8. TERMINATION

This Agreement terminates automatically if:

  • You fail to comply with any term
  • Your subscription or license expires
  • You attempt to bypass licensing or security controls

Upon termination:

  • Your right to use the Software ends immediately
  • You must uninstall and cease all use
  • CASA TECHNOLOGIES LLC may disable access remotely

9. DISCLAIMER OF WARRANTIES

The Software is provided "AS IS" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. You assume all risks associated with use of the Software.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, CASA TECHNOLOGIES LLC is not liable for:

  • Lost profits or revenue
  • Business interruption
  • Data loss
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount you paid for the Software in the preceding 12 months.

11. INDEMNIFICATION

You agree to indemnify and hold harmless CASA TECHNOLOGIES LLC from any claims, damages, or liabilities arising from your misuse of the Software or violation of this Agreement.

12. GOVERNING LAW

This Agreement is governed by the laws of the State of Kansas, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Kansas.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and CASA TECHNOLOGIES LLC regarding the Software and supersedes all prior agreements or understandings.

Text Messaging Terms

Program Name: CASA POS Messaging Program

1. CASA POS Messaging Program sends business-related messages to users who opt in, including account notifications, license and service updates, reminders, support communications, and other operational messages related to CASA POS services.

2. You can cancel the SMS service at any time. Just text "STOP" to the short code. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

3. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected] or +1 (316) 435-3227.

4. Carriers are not liable for delayed or undelivered messages.

5. As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your account activity, support interactions, and service notifications. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
